TERMS & CONDITIONS OF TROOPERS APP

This Terms & Conditions is a legal agreement between you and Troopers Innovation Sdn. Bhd. (“Troopers” or “We”). “You” and “your” as used in this Terms & Conditions shall mean you individually and the entity on whose behalf you have signed up to create a profile in this Troopers App.

BY USING THE TROOPERS APP, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, ACCEPTED AND AGREED WITH THE TERMS & CONDITIONS STATED HEREIN.

IF YOU DO NOT AGREE TO FALL WITHIN THE TERMS & CONDITIONS, PLEASE DO NOT CONTINUE USING THE TROOPERS APP OR ANY SERVICE AVAILABLE TO YOU BY REASON OF THE TROOPERS APP. BY ACCESSING OR USING THE SERVICE THROUGH THE TROOPERS APP, YOU AGREE TO BE BOUND BY THESE TERMS & CONDITIONS. IF YOU DISAGREE WITH ANY PART OF THE TERMS & CONDITIONS, PLEASE DISCONTINUE YOUR PROFILE AND DO NOT ACCESS ANY PARTS OF THE SERVICE. 

You hereby acknowledge and agree to the following:

A. DEFINITIONS

For the purposes of this Terms & Conditions, the following capitalised words and phrases not otherwise defined in this Terms & Conditions, shall have the following meanings:

1. "Confidential Information" means any information or materials, including but not limited to, technical data, know-how, business plans, financial projections, agreements with third parties, trademarks, copyright, trade secrets, product plans, products, prices and costs, markets, software, developments, implementation plans, inventions, processes, technology, designs, drawings, that is provided by Troopers and/or Troopers’ suppliers, clients and/or customers to you, in carrying out your services, or that is otherwise learned by you about Troopers through the performance of this Terms & Conditions and that has been identified as being proprietary and/or confidential or that by the nature of the information or the circumstances surrounding the disclosure or receipt reasonably ought to be treated as Confidential Information.

2. “Documentation” means all documentation Troopers has delivered to you, whether in written or in electronic form during the Services and under this Terms & Conditions.

3. “Intellectual Property Rights” means all worldwide trade secrets, trademarks (registered or unregistered of Troopers and/or Troopers’ suppliers, clients and/or customers, including any goodwill acquired in such trademarks), trade names, copyrights, database rights, rights in inventions (patentable or not) and all other intellectual property and proprietary rights (registered or unregistered, and any application or rights to enforce the foregoing), and all other similar rights as they may exist anywhere in the world. 

4. “Services” means the services provided by you to Client pursuant to under this Terms & Conditions. 

5. “Restrict Access” or “Restricted for Access” means to restrict or limit the ability of a Talent to apply for available jobs on Troopers App by hiding or disabling the job application functionality of the Talent’s Troopers App’s account.

6. “Work Product” means any result provided by you in performance of the Services. 

7. “Administrator” means Troopers. 

8. “Client” refers to the entity which is able to create a job posting and shortlist the Talent(s) and offer the jobs on any dates on which the Talent(s) have chosen to apply. 

9. “Supervisor” means Troopers or the Client or any other Talent who are assigned by Troopers or the Client to be the supervisor of the Talent(s). 

10. “Talent” or “you” means the individual creating a profile to search for freelance jobs and who applies, confirms or rejects jobs using the Troopers App.

11. “Platform Fee” means the platform fee chargeable on the Talent’s basic job shifts earnings, as further described in the Platform Fee Policy.

12. “Platform Fee Policy” means the Platform Fee Policy [Insert hyperlink to the Platform Fee Policy], which may be amended, modified, or updated by Troopers from time to time.

B. FLEXIBLE / FREELANCE WORK OPPORTUNITIES AND OBLIGATIONS OF TALENTS

1. The new user of Troopers App that intend to register as the Talent shall be required to complete identity verification by uploading your NRIC or other identification document and undergoing facial recognition verification by uploading your photograph via the Troopers App (“Account Verification”). Such Talent will be given three (3) attempts to successfully complete the Account Verification. In the event that such Talent is unable to complete the Account Verification within three (3) attempts provided, such Talent shall submit manual verification request(s) through the “User Verification” feature to complete the Account Verification. For the avoidance of doubt, such Talent will not be able to apply for any jobs on the Troopers App until the Account Verification process is completed.

2. Any existing Talent who has not previously completed the Account Verification will not be able to apply for any additional available jobs on the Troopers App after one (1) month from the date of official introduction of the Account Verification feature, until the completion of the Account Verification. For the avoidance of doubt, the existing Talent may continue to receive payments in the Talent’s Total Earnings and to withdraw earnings from the Talent’s Available Earnings for completed jobs and be required to fulfill the Talent’s obligations for jobs applied and confirmed prior to the introduction of the Account Verification feature.

3. Upon completion of the Account Verification, a profile photo of the Talent will be created by using the photograph submitted by the Talent during the Account Verification process and displayed on the Talent’s profile. Should the Talent wish to change the profile photo on the Talent’s profile, the Talent shall be required to undergo the Account Verification process again.

4. Upon the Talent’s registration and/or subscription of his/her profile with all the relevant details and successful Talent Verification, the Talent would be able to access job postings created on the Troopers App.

5. Descriptions of the job postings that are created by the Administrator and/or Client are contents that are provided by Troopers’ Clients and Troopers will not be liable for any representations which are inaccurate.

6. The Talent irrevocably covenants, represents and warrants to the following:

(a) Troopers is the copyright owner of any pictures, images and visuals and have full discretion to post any photographs of Talent carrying out the Services in any of Troopers and/or the Client’s platforms, at Troopers’ discretion;

(b) the posting of any information on the Troopers App does not violate the rights or any third parties and appropriate consent has been obtained, if necessary;

(c) all information posted and shared through Troopers App are accurate and true, including age, description of your relevant experience, expertise and abilities as well as language proficiency;

(d) the Talent will honour all engagements taken up and confirmed and will execute the Services to the level of professionalism required including being on time and ensuring that the Talent carries out the Services in accordance with any requirements as instructed from time to time;

(e) the Talent shall be solely responsible in the event the engagement could not be fulfilled for any reason whatsoever, and that the Talent agrees to indemnify Troopers from any losses to third parties (including Clients) arising from failure to complete any engagement;

(f) in applying for a Job Posting and in confirming a job, the Talent possesses all necessary skills or equipment to complete any assignment advertised;

(g) the Talent has his/her own transport and/or the Talent is able to travel to the venue of engagement at the Talent’s own costs. The Client and/or Troopers and/or Troopers’ clients are not responsible to reimburse your travel costs unless the same is expressly stated otherwise in the advertisement posted through the Troopers App.

(h) Every job application applied by the Talent will not lead to any form of contract being formed between the Talent and the Client. Only upon the job application by the Talent being accepted by the Client and upon confirmation of the acceptance of the job by the Talent, does a contract form between parties.

(i) In any event, for the avoidance of doubt, neither the appointment of the Talent to provide any Services nor the performance of any job shall render or constitute an employment of Troopers at any time. The Talent is, at all times, an independent contractor of Troopers.

(j) The Talent irrevocably agrees that due to the Talent’s nature of service as an independent contractor, no statutory contributions are required to be paid by Troopers on its behalf or on behalf of the concerned Client.

7. Upon confirmation of acceptance of a job by the Talent, the Talent will honour all engagements taken up and confirmed and will execute the Services to the level of professionalism required by the Talent in the reasonable care and skill expected of the Talent.

8. Upon completion of the Job, the Talent will within a maximum amount of 2 to 3 working days have the amount the Talents is entitled to credited into her “Total Earnings”.

9. “Total Earnings” are not available for withdrawal by the Talent.

10. Only when “Total Earnings” are converted into “Available Earnings” will the Talent be able to withdraw/draw down the monies.

11. The Talent acknowledges and agrees that a minimum balance of RM20.00 (“Minimum Balance”) is required to be maintained in the “Total Earnings” account at all times. This Minimum Balance represent a processing and administrative fee associated with opening and maintaining the account on Troopers App. Unless prior written approval from Troopers is obtained, any request made by Talent for conversion from “Total Earnings” to “Available Earnings” will be rejected if the balance in Talent’s “Total Earnings” is less than the Minimum Balance. The aforesaid written approval from Troopers may be granted at the absolute discretion of Troopers, upon the written request of Talent.

12. Talent irrevocably agrees and acknowledges that Talent’s attendance hours are recorded through Troopers App’s check-in and check-out system. The recorded attendance hours shall be deemed final unless a dispute or issue is raised by submitting a formal request to Troopers’ support team via the ‘Contact Us’ feature on Troopers’ App, providing supporting evidence (e.g., supervisor confirmation, photo proof, or system logs). Troopers may at its sole discretion, perform manual adjustment to Talent’s attendance if Troopers is satisfied with Talent’s justification and supporting evidence. Talent may appeal Troopers’ decision and Troopers shall review and may at its discretion allow and approve the appeal. All final decision made by Troopers shall be final and binding.

13. Any non-paid breaks taken during a job shift shall be automatically deducted from the Talent’s total payable hours of earnings.

14. The Talent irrevocably agrees and acknowledges to be subject to Troopers’ auto-proration system for late check-ins and early check-outs system (“Auto-Prorate”). Under this Auto-Prorate system, if a Talent fails to check in on time or checks out before the scheduled end of a job shift, their earnings shall be automatically deducted and prorated based on Troopers’ deduction rules as follows:

14.1 Proration shall apply according to 15-minute deduction intervals as below:

(a) 01-15 minutes late/early: Deduction of 15-minute earnings;

(b) 16-30 minutes late/early: Deduction of 30-minute earnings;

(c) 31-45 minutes late/early: Deduction of 45-minute earnings;

(d) 46-60 minutes late/early: Deduction of 60-minute earnings.

14.2 Proration is also subject to the following rounding rules:

(a) Late check-in: If the Talent checks in late, the deduction will be based on the brackets below it falls into. If the late check-in exceeds a bracket’s maximum time, it will be rounded up to the next bracket. For example:-

(i) 15 minutes late: 15-minute deduction; 

(ii) 17 minutes late: 30-minute deduction; 

(iii) 32 minutes late: 45-minute deduction; 

(iv) 50 minutes late: Clause 14.3 below shall apply

(b) Early check-out: If a Talent checks out early, the same bracket-based deduction applies. For example: 

(i) 5 minutes early: 15-minute deduction; 

(ii) 17 minutes early: 30-minute deduction; 

(iii) 32 minutes early: 45-minute deduction; 

(iv) 50 minutes early: 60-minute deduction. 

(c) Multiple Instances of Late Check-In and Early Check-Out in the same job shift: If a Talent both checks in late and checks out early, deductions will be cumulative. For example: 

(i) 18 minutes late and 12 minutes early: 30-minute deduction for late check-in plus 15-minute deduction for early check-out = 45 minutes total deduction;

(ii) 32 minutes late and 25 minutes early: 45-minute deduction for late check-in plus 30-minute deduction for early check-out = 75 minutes total deduction, but the job shift remains valid.

14.3 If the Talent fails to check in within 50 minutes after their shift starts, the shift may automatically be recorded as a missed shift, no-show or absence. In such cases, the Talent will not be entitled to payment unless Troopers, at its sole discretion, decides otherwise based on justifications and evidence submitted by the Talent via the designated dispute or appeal process.

15. For the avoidance of doubt, the Auto-Prorate feature shall only be applicable to new job posts created by Troopers on the Troopers App after the official introduction and implementation of the Auto-Prorate feature. Troopers reserves the right to review, amend or adjust the Auto-Prorate system, including but not limited to deductions rules, proration intervals and dispute and appeal procedures, as it deems necessary. Talents will be notified of any material changes through the Troopers App and/or other official communication channels accordingly. Continued use of the Troopers App after any notified changes shall constitute acceptance of the updated Auto-Prorate system.

16. Troopers App will automatically calculate the prorated earnings of Talent based on the attendance hours recorded on Troopers App for a particular job in accordance with the Auto Prorate systems and rules. Further, the Talent shall be able to access the detailed summary of the Auto-Prorate deductions in the Earnings Summary and/or Statement available on the Troopers App. 

17. The Talent may submit requests for additional payments for extended job shifts and reimbursements through the Troopers App. The system will automatically calculate any applicable and approved overtime and reimbursements, which will be reflected in the Talent’s Total Earnings at the end of the job. 

18. The Talents may dispute and/or appeal against any inaccurate deductions, attendance records, additional payment and reimbursements calculations via the 'Contact Us' feature on the Troopers App. However, the outcome of any dispute and/or appeal shall be at the sole discretion of Troopers. 

19. Further, the Talent agrees that any overtime and reimbursements may be submitted through the Troopers App and will be automatically calculated and reflected in the Talent’s Total Earnings at the end of the job. The appeal process for reimbursements and overtime claims shall be identical to the abovementioned Auto-Prorate appeal process 

20. The payment terms of each job posting would commence only after the End Date stated on the job posting. For example, if the project runs from 1st December 2020 to 30th December 2020 and the Talent only works on 1st December 2020 with the payment terms being “7 days”, should there be no dispute/report made against the Talent, the relevant amount will be converted into “Available Earnings” only within 7 days from 30th December 2020 i.e. the End date of the Job Posting. 

21. All requests for withdrawal from the Talent will be processed by Troopers within a reasonable time, at the sole discretion of Troopers. 

22. Should there be any reports made by the Supervisor and/or the Client and/or Troopers against the Talent, the Talent agrees that all “Total Earnings” and “Available Earnings” will be put on abeyance until the conclusion of the Report made in accordance with Article C below. 

23. Unless prior written approval from Troopers is obtained, any request made by the Talent for withdrawal from “Available Earnings” will be rejected if the net balance of the Talent’s “Available Earnings” (after deduction of any conversion fee or any other relevant fee, if any) is less than RM50.00. The aforesaid written approval from Troopers may be granted at the absolute discretion of Troopers upon the written request of Talent should there be any exceptional circumstances that justify the Talent’s request.

C. REPORTS MADE AGAINST THE TALENT

1. Upon receipt of a Report made against the Talent, the Talent and the Administrator will receive a notification of the Report. 

2. The Talent and/or the Supervisor irrevocably agrees that the Talent will co-operate fully with Troopers and/or the Administrator in the investigation process. 

3. Troopers has full discretion to determine whether the Report made against the Talent is deemed to be a minor Report or a serious Report.

3.1 In the event that Troopers found the Report made against the Talent is deemed by Troopers to be a minor Report [which does not warrant the Talent’s account being suspended or closed]:

(a) The Talent acknowledges that the investigation process may take up to seven (7) working days and acknowledges that the payment terms will be held in abeyance / put on hold during this period. 

(b) The Supervisor and/or Talent irrevocably agrees that the decision of Troopers / Administrator shall be final and binding on all parties involved. 

(c) Should Troopers / Administrator find the Report not in favour of the Talent, the amount relevant to the job posting will be removed from the “Total Earnings” of the Talent. Regardless of completion of the Service, the Talent agrees that the Talent will not be entitled to any amount of monies in respect of the particular job posting. 

(d) The Talent has a right to submit an appeal on the decision for Troopers / the Administrator to review its decision. 

(e) The procedures to submit an appeal is as per the FAQ available on the Troopers App. 

(f) The Talent acknowledges that the review of the appeal process may take up to seven (7) working days.

3.2. In the event Troopers found the Report made against the Talent is a serious Report, Clause F and/or Clause G will apply.

D. STATEMENT OF ACCOUNT – TOTAL EARNINGS AND AVAILABLE EARNINGS

1. It is hereby agreed and declared that any statement of account in writing or any amounts stated in the Troopers App has been calculated by Troopers and shall, in the absence of manifest error, be conclusive and binding on the parties.

E. REPRESENTING TROOPERS AND/OR THE CLIENT THROUGH SOCIAL MEDIA

1. The Talent irrevocably agrees and undertakes that the Talent will not represent Troopers and/or the Client on the Talent’s social media accounts in any way that is negative in nature and is expected to protect Troopers and/or the Client’s image and reputation. 

2. Specifically, the Talent should whether during the Talent’s performance of the Service or otherwise: 

(a) be respectful, polite and patient; 

(b) follow our confidentiality and data protection policies and observe laws governing copyrights, trademarks, plagiarism and fair use; 

(c) co-ordinate with Troopers and/or the relevant Supervisor when you’re about to share any content for any job postings; 

(d) to not act in any matters without the express consent of Troopers; 

(e) correct or remove any misleading or false content as quickly as possible, upon notification by Troopers.

F. RESTRICT ACCESS AND SUSPENSION OF ACCOUNT

1. Troopers reserves the right to Restrict Access on your account as a Talent or Supervisor at its sole discretion at any time, including but not limited to acts in breach of this Terms & Conditions, gross misconduct, report made against you that Troopers deemed as serious, no-show for Jobs or Services after confirmation and acceptance of the Job (hereinafter known as “Wrongful Action”). For the avoidance of doubt, Troopers has no obligation to notify you prior to Restrict Access on your account.

2. Upon imposing Restrict Access on your account, Troopers may notify you via e-mail or any appropriate mode of communication specifying the reason of imposing Restrict Access on your account and you may be required to speak to a Troopers’ representative by attending at Troopers’ office premises physically or by any other means and/or to provide documentary evidence and/or explanation of your Wrongful Action and/or be demanded to make payment for any penalty fee as may be imposed by Troopers at its sole discretion and/or any other request of Troopers as may be specified by Troopers (“Show Cause Notice”)

3. Notwithstanding the above, the Talent agrees that there is no fixed timeline for Troopers to investigate the Wrongful Action and/or Show cause Notice due to the variation of the Wrongful Action.

4. Upon imposing Restrict Access on the Talent’s account:-

4.1 your right to use the Troopers App will remain as usual but you will not be able to apply for any available jobs on Troopers App; 

4.2 you will be able to withdraw any Available Earnings in your account and/or Total Earnings; 

4.3 in the event that any claims, damages, expenses or losses incurred by Troopers and/or Client resulting from your Wrongful Action, the Talent agrees that Troopers may set off the same against your Available Earnings and/or Total Earnings at any time.

5. Troopers may lift the Restrict Access on your account at any time if you have complied with Show Cause Notice and/or made payment for penalty fee, if any, and/or provided a viable explanation with sufficient justifiable documentation that Troopers deems satisfactory. You agree that you shall be subject to close monitoring after the lift of Restrict Access on your account and that Troopers has full discretion to suspend, continue the Restrict Access on your account or to close your account.

6. If your account is Restricted for Access for the first time, you agree to pay a penalty fee amounting to a minimum of RM10.00 and any other damages or losses that is deemed appropriate by Troopers, to be decided at Troopers’ sole discretion. 

7. If your account is Restricted for Access again after the first lift of Restrict Access on your account (2nd Restrict Access), you agree to pay a penalty fee amounting to a minimum of RM50.00 and any other damages or losses that is deemed appropriate by Troopers, to be decided at Troopers’ sole discretion.

8. You agree that payment of the penalty fee shall constitute and be deemed as an acknowledgement and admission of your Wrongful Action.

9. Any further Wrongful Action committed by you after the second lifting of Restrict Access on your account, will result in suspension or the permanent and immediate closing of your account without notice.

10. You agree and understand that if you fail to respond to Troopers’ Show Cause Notice within three (3) months from the date of Troopers’ Show Cause Notice [regardless of the number of times your account has been Restricted for Access] and/or your account is Restricted for Access again after the second lifting of Restrict Access on your account:

10.1 you as the Talent irrevocably agrees that any Total Earnings and/or Available Earnings will be forfeited in full by Troopers, without any further notice made to you; 

10.2 your account will be suspended or closed permanently on an immediate basis; and 

10.3 your right to use the Troopers App will immediately cease together with any job postings which are pending.

11. Notwithstanding anything stated herein, Troopers retains the absolute discretion to suspend the Talent account outrightly at any time and upon suspension:

11.1 you will not be able to withdraw any Available Earnings in your account and/or Total Earnings; 

11.2 you will not be able to access the Talent account; 

11.3 you as the Talent irrevocably agree that any Total Earnings and/or Available Earnings will be forfeited in full by Troopers, without any further notice made to you; 

11.4 your account may be subsequently closed permanently on an immediate basis without notice; and 

11.5 your right to use the Troopers App will immediately cease together with any job postings which are pending.

G. CLOSING OF ACCOUNT

1. Troopers reserve the right to close your account as a Talent or Supervisor at its sole discretion at any time, including but not limited to acts in breach of this Terms & Conditions. Further, should the Talent be found or reported to be guilty of a gross misconduct and/or breach of applicable law, examples as follows, the Talent will aside from being liable for damages, be removed from the Troopers App on an immediate basis, without needing to take any of the steps above :-

(a) theft, fraud, bribery (giving and receiving); or unauthorised possession of Troopers’ or any other person’s property; 

(b) unauthorised entry to computer records; or dishonesty, falsification of accounts or documents; 

(c) serious breach of Troopers’ rules or procedures as from time to time in place; 

(d) fighting or assault; use or threats of physical force against any other person, in execution of the Service; 

(e) deliberate or reckless damage to Troopers’ property or to the Client’s property; 

(f) an inability to perform the Services through being under the influence of alcohol or drugs; 

(g) acts of bullying and mobbing, sexual harassment or non-sexual harassment; 

(h) breach of trust or confidentiality; 

(i) inappropriate behaviour that causes offence/distress to others; 

(j) downloading of illegal softwares on Troopers’ property.

2. Upon closing of account:-

(a) your right to use the Troopers App will immediately cease together with any job postings which are pending; 

(b) any Total Earnings and/or Available Earnings will be forfeited by Troopers at Troopers’ discretion; 

(c) all data related to your account will be permanently deleted and removed and such deleted and removed data is not recoverable.

3. If you wish to close your account, you may simply discontinue using the Troopers App.

H. FORFEITURE OF AVAILABLE EARNINGS IN TALENTS ACCOUNT

Should there be no Wrongful Action, the Talents are required to withdraw their Available Earnings within one (1) year of the Available Earnings reflected in the App. Should the Talent’s account remain inactive for one (1) year, Troopers may send a notice of forfeiture of available earnings and if there is no response within three (3) months from the date of Troopers’ notice, Troopers is irrevocably authorised to forfeit all of the Available Earnings to close the relevant account.

I. CONFIDENTIAL INFORMATION

You agree not to use or otherwise disclose to any third party, without Troopers’ prior written consent, any Confidential Information learned under this Terms & Conditions, including through the training or briefing sessions in performance of the Services. In addition, you agree to take reasonable measures to protect the Confidential Information and to ensure that such Confidential Information is not disclosed, distributed, or used in violation of the provisions of this Terms & Conditions (which measures shall be no less than that which a reasonable person would take with respect to like confidential, proprietary, or trade secret information).

J. PROPRIETARY RIGHTS

Troopers and/or its licensors retain all right, copy right, title, and interest in and to the following:

1. all Documentation, photos, videos, and Work Product in the Talents’ performance of the Service;

2. all ideas, concepts, techniques, processes, know-how, modifications, enhancements, and derivative works that may be developed, conceived, or invented by Troopers, including the Troopers App;

3. all design, text, graphics and other material on our site and the selection or arrangement thereof;

4. all Intellectual Property Rights in and to the name Troopers.

The Documentation is also protected under applicable copyright laws and the Talent’s right to use the Documentation is limited to the terms and conditions set forth in the Job Description. All rights not expressly granted in this Terms & Conditions are expressly reserved by Troopers. The Talent will not remove, obscure or alter any notice of copyright, trade secret, trademark, or other Intellectual Property Right, or disclaimer in the Documentation.

Talent is only granted with permission to electronically copy and print in hard copy portions of the Troopers’ site solely in connection with the Services. Any other use of materials on the Troopers’ site (including reproduction for purposes other than those noted above and alteration, modification, distribution, or republication) without the Troopers’ prior written permission is strictly prohibited.

You hereby grant to Troopers a perpetual, royalty-free, irrevocable license to copy, issue copies, communicate to the public, make publicly available and include in any social media platform (either in whole or in part or in a modified or edited form) any material you upload or post to the Troopers’ site (whether to a chat room, bulletin board or otherwise). You acknowledge and agree that such material is not uploaded or posted subject to any obligation of confidence.

K. GOVERNING LAW; VENUE

This Terms & Conditions and any disputes that may arise under, out of or in connection with this Terms & Conditions, shall be governed by and construed and enforced in accordance with the laws of Malaysia. The parties consent and submit to the exclusive jurisdiction of and venue in the courts of Malaysia. Each party waives all defences of lack of personal jurisdiction and forum non conveniens. English is the governing language of this Terms & Conditions.

L. INDEMNIFICATION

1. You will defend and/or indemnify Troopers against any claim or action brought by a third-party including Troopers’’ Clients against Troopers arising from your violation of any terms contained herein and/or your failure to perform the Services in a reasonable standard that is expected of you or violation of any such third party’s rights, including privacy rights of the data you provide to Troopers under this Terms & Conditions.

2. Further, you will pay those costs and damages awarded against Troopers in any such claim or action (including legal and other fees) that are specifically attributable to such claim or action, or those costs and damages agreed to in a monetary settlement of such claim or action.

3.You shall have the right to settle those aspects of the claim or action dealing only with the payment of money, if you pay such amounts as 

M. PLATFORM FEE 

1. Troopers will impose Platform Fee on Talent, and the Talent acknowledges and agrees that the Platform Fee will be charged and automatically deducted before credited into the Talent’s earnings in accordance with the Platform Fee Policy.

2. In the event that the deduction is unsuccessful for any reason, Troopers may attempt to deduct the Platform Fee again when subsequent earnings are credited. Should the Platform Fee remain unpaid, Troopers reserves the right to Restrict Access to the Talent’s account until the outstanding fee is settled.

3. The Talent shall not access or use, or continue to access or use, the Troopers App if the Talent does not agree to the Platform Fee, Platform Fee Policy, or any terms herein.
